App-build terms
Version 1, dated 2026-10-26
1. Who we are and who you are
These terms are an agreement between you and Abdelrahman Atef, an independent software developer based in Egypt trading as "Codesters" ("we"). "You" are the person or organisation that pressed "I agree" from the email address we verified. By pressing "I agree" you confirm you are at least 21 years old, or that your parent or guardian has accepted with you, and, if you act for a company or organisation, that you are authorised to bind it.
2. What the agreement is
The agreement has three parts: (a) the offer you accepted, reference number shown on your offer; (b) the specification attached to it (the screens, features and platforms you chose, as reviewed by our team); and (c) these terms. The offer and specification say what we build; these terms say how. If the offer and these terms differ on price, duration or stages, the offer wins; on anything else, these terms win. Anything not written in the offer or specification is not part of the agreed work. The offer is valid for 14 days from the day we send it; if you ask, we extend it once by 14 more days at the same price.
3. Price
The price is the amount in US dollars stated in the offer. It is a fixed price for the work in the offer and specification and changes only through a change request you accept (clause 6). The price does not include: app store fees (such as a Google Play account or the Apple Developer Program), hosting and third-party services after handover, or any taxes or charges imposed by your country or your bank. You pay these yourself, in your own name.
4. Payment
- Payment is made outside the website, by one of the methods listed in the offer (for example bank transfer, InstaPay inside Egypt, or an international transfer service from abroad). The website never asks for or stores card or bank details.
- Start payment: 20% of the price before work starts. Work starts only after we mark it received on your request page. The start payment is deducted from the last stage's payment.
- The rest is split across the stages as shown in the offer. Each stage's payment is due after you approve that stage. You never pay for a stage before you have seen and approved it.
- The last stage's payment is due after you approve it and before we hand over the full source code and release files.
- If a payment is more than 14 days late after a reminder, we pause work until it arrives, and dates move by the same time. We charge no late interest.
- You pay only the transfer fees on your side; we pay the receiving fees on ours, so the amount we ask is exactly what you pay.
5. Stages and approval
- The work is split into the stages written in the offer; each stage has a clear delivery (design, test build, test report, etc.) shown on your request page.
- At each delivery we ask you, within 10 days, to press "Approve" or "Request changes", naming the items that do not match the specification.
- A stage is approved only when you press "Approve" yourself; silence is not approval. If you do not reply we send reminders, we do not start the next stage until you do, and dates move by the same time. If the silence continues, clause 12 (closing a stalled project) applies.
- Approval means the stage matches the specification. Defects found later that break the specification are fixed in the support window (clause 7).
- Dates are estimates. We show a date range for each stage when it starts and never change it without telling you why. If we are late, for reasons on our side, by more than half the length of that range, you may cancel and get back what you paid for work not yet done (clause 12).
- Delays caused by waiting for your answers, content or accounts are added to the dates.
6. Change requests
- Fixing anything that does not match the specification is always free and does not use a review round.
- Each stage includes free review rounds by tier (Tier 1: one, Tier 2: two, Tier 3: three) for small changes of look or wording within the same feature.
- Anything new (a feature, screen, platform, user role, or a change to how an agreed feature works) is a change request: we send you its price in US dollars and extra time, at the same rate as your offer, and it enters the work only after you press "I agree" on it. If you do not, we continue with the original specification.
7. Support after launch
- The support window starts on launch day (or on approval of the last stage, if you do not launch): Tier 1: 30 days, Tier 2: 3 months, Tier 3: 1 year.
- Support covers fixing defects that break the specification and answering questions about using what we delivered. We reply within 2 working days through "Report a problem" on your request page.
- Support does not cover new features, outages of third-party services or app stores, changes made to the code by anyone else, or hosting costs. These can be requested as new work.
- After the window ends we owe no support; you can ask for a new offer.
8. Store and service accounts
The app is published from your own Google Play, App Store and hosting accounts, in your name. Apple's rules also require this for apps built for a client. We help you set them up, but we do not open accounts in your name or keep your passwords; you give us developer access or an invitation from inside your account and remove it after handover. We cannot guarantee that a store approves the app, but we fix at no charge any rejection caused by our work breaking the specification or the store rules published at build time.
9. Intellectual property and code
- Once the price is paid in full we transfer to you all the economic rights we hold in the code, designs and files we made specifically for your app, namely the rights to: copy; modify, develop and create derivative works; translate; publish and distribute; make available to the public by any means, including app stores and the internet; rent and license to others; and sell; for all purposes, worldwide, for the full term of legal protection, at no further charge. For Tier 3, or a price above USD 3,000, we and you also sign a PDF copy of this clause; we sign one free for any other client who asks.
- Before full payment you may use what we deliver only to review and test it, not to publish or sell it.
- What we do not transfer: (a) open-source libraries and third-party services, which stay under their own licences (we give you a list); (b) our general tools and templates used across all projects, for which we give you a free, permanent, non-exclusive licence to use and modify inside your app.
- AI-generated parts: we use AI tools to build. Some laws give no copyright to material produced by AI without human creative input. So we transfer the rights we hold and promise never to claim any right over your app's code, but we do not guarantee that every part of it is protected by copyright in every country.
- Moral rights (being named as author) cannot be transferred by law; we waive any claim to be named inside the app.
- We show your app in our portfolio only with your written yes, which we ask for separately at launch.
- You confirm that the content, logos, text and images you send us are yours or licensed to you.
10. Confidentiality
We keep your idea, specification and data confidential and share them only with those who need them to do the work, under the same duty (including the AI services named on our privacy page). You keep our internal pricing and unpublished tools confidential. This does not cover what is already public or what the law or an authority requires. The duty lasts 5 years after the project ends, and for your business secrets held in the code or data for as long as they stay secret. We may build apps of the same kind for others, without using anything confidential of yours.
11. Data
- How we handle your own data (name, email, request) is on our privacy page.
- Your app users' data belongs to you and is your responsibility: you decide what is collected and why, and you are responsible for your app's privacy policy and any licence or registration your country's law requires (in Egypt: Personal Data Protection Law No. 151 of 2020 and its executive regulations). We handle it only on your instructions and only to do the work or support.
- We use no real data of your users in testing without your permission.
- After the support window ends we delete our copies of your data and our access within 30 days, keeping only what the law requires us to keep (such as payment and acceptance records).
12. Cancellation and refunds
- You may cancel at any time by email from your registered address or from your request page.
- If you cancel before work starts, we refund the whole start payment less only the transfer charges actually incurred, at most USD 15, within 14 days.
- If you cancel after work starts: payments for stages you approved are not refunded (you paid them after seeing the work). For the stage in progress we keep from the start payment only the share of that stage already done and refund the rest of the start payment; we never ask you for more than the start payment for the stage in progress. [default — owner may change] We hand over the work done, and the rights in what you paid for pass to you as in clause 9. We will not claim any compensation for lost profit.
- Closing a stalled project: if you do not reply to our requests or deliveries for 90 days after two reminders, we may close the project, and the paragraph above applies as if you cancelled that day. You can ask for a new offer later.
- We may also cancel if a payment is more than 30 days late after two reminders, or if the app turns out to be unlawful. If we cancel for reasons on our side, we refund the whole start payment and hand over what is done.
- Refunds go back by the same payment method unless we agree otherwise.
13. What we promise and what we do not
We promise that what we deliver matches the agreed specification and that we fix what does not during the support window. We do not promise business results (users or revenue), store approval, uninterrupted third-party services, or software entirely free of errors.
14. Limit of liability
As far as the law allows: (a) our total liability for anything related to this agreement is no more than the full project price stated in the offer; (b) we are not liable for indirect loss such as lost profit, lost data or reputation. This limit does not apply to fraud or gross fault, or to any liability the law does not allow to be limited.
15. Events outside anyone's control
Neither side is in breach if prevented by an event outside its control (such as a general internet or power outage, a government decision, or a disaster). Dates stop for the duration; if it lasts more than 60 days either side may cancel, and clause 12 applies as if the client cancelled after work started.
16. Law and disputes
This agreement is governed by Egyptian law. For any disagreement we first try for 30 days by email to settle it. If that fails, the courts of Cairo have jurisdiction. This does not take away any mandatory consumer protection your own country's law gives you.
17. Language, notices and changes to these terms
These terms are written in Arabic and English; if they differ, the Arabic version prevails, and any unclear wording is read in your favour. All notices between us are by the registered email or on your request page. If we change these terms later, the change applies to your project only if you accept it; the version you accepted governs your project.
18. How you accept
When you tick "I have read and agree to the App-build terms, version 1" and press "I agree and accept offer", you enter into this agreement. We record the date and time of acceptance, your verified email, the offer reference and the terms version, and email you a copy straight away. Paying the start payment also confirms your acceptance. You may ask for a PDF copy of this agreement at any time.
